• Resale Without Authorization: Reselling, redistributing, or commercially exploiting any portion of our Services without prior written consent;
• Circumventing Security: Attempting to probe, scan, or test the vulnerability of the Site or any associated system;
• Violation of Laws: Engaging in any activity that violates applicable local, state, federal, or international laws, including but not limited to the Federal Trade Commission Act, applicable food safety regulations, and consumer protection laws.

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including, without limitation, removing violating content, suspending or terminating accounts, and reporting such conduct to law enforcement authorities.

4. Account Registration and Security

Certain features of our Site may require you to register for an account. When you register, you agree to provide accurate and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

5. Intellectual Property Rights

5.2 Limited License

Subject to your compliance with these Terms, Wing Snob grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial use and for the purpose of placing orders with Wing Snob. This license does not include the right to:

You must not use such marks without the prior written permission of Wing Snob. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

5.4 User-Submitted Content

If you submit, post, upload, or transmit any reviews, comments, feedback, suggestions, photographs, or other content to our Site ("User Content"), you grant Wing Snob a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with our business operations and marketing activities.

You represent and warrant that you own or control all rights in and to the User Content you submit and that such content does not violate these Terms or applicable law.

6. Orders, Payment Terms, and Refund Policy

We reserve the right to accept or decline any order for any reason, including but not limited to product availability, errors in pricing or product descriptions, or suspected fraudulent activity. All prices displayed on our Site are in United States Dollars (USD) and are subject to applicable sales tax, service fees, and delivery charges as applicable. We reserve the right to change prices at any time without prior notice. In the event of a pricing error on our Site, we reserve the right to cancel any orders placed at the incorrect price and will notify you promptly.

6.3 Payment Methods

We accept payment through the methods displayed at checkout, which may include major credit cards, debit cards, and other electronic payment methods. By submitting payment information, you represent and warrant that you are authorized to use the payment method provided and that the information you provide is accurate and complete.

We use third-party payment processors to handle payment transactions. Your payment information is subject to the privacy policies and terms of those third-party processors. Wing Snob does not store complete credit card or sensitive financial information on its servers.

6.4 Cancellations and Refunds

Due to the perishable nature of food products, order cancellations may be accepted only within a limited window after order placement, as described in our current cancellation policy posted on the Site. Refunds or credits will be issued at our sole discretion on a case-by-case basis in accordance with applicable consumer protection laws.

7. Food Safety and Allergen Disclaimer

Wing Snob makes reasonable efforts to provide accurate nutritional and allergen information for our menu items. However, menu items may be prepared in facilities that also process common allergens including but not limited to: peanuts, tree nuts, dairy, eggs, wheat, soy, fish, and shellfish. Cross-contamination is possible, and Wing Snob cannot guarantee that any menu item is completely free of allergens.

Customers with food allergies, intolerances, or specific dietary requirements are strongly advised to contact us directly before placing an order to discuss their specific needs. Wing Snob assumes no liability for any allergic reactions or adverse health events arising from the consumption of our products where reasonable allergen disclosures have been made.

8. Disclaimer of Warranties

• WARRANTIES AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION ON THE SITE;
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM USING THE SITE OR SERVICES.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

Wing Snob does not warrant that the Site is appropriate or available for use outside the United States. Access to and use of the Site from jurisdictions where such use is illegal is prohibited.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• COSTS OF SUBSTITUTE GOODS OR SERVICES;
• PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
• INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SITE;
• BUGS, VIRUSES, TROJANS, OR SIMILAR HARMFUL CODE TRANSMITTED THROUGH THE SITE BY THIRD PARTIES.

IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF WING SNOB TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

These limitations apply regardless of the legal theory on which the claim is based, whether based in contract, tort (including negligence), strict liability, or otherwise, and even if Wing Snob has been advised of the possibility of such damages. Some states do not allow limitations on implied warranties or exclusions of certain damages, so some limitations above may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its respective owners, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of the Site or Services in an unauthorized or unlawful manner;
• Your User Content or any content you submit, post, or transmit through the Site;
• Your violation of any third party's rights, including intellectual property rights, privacy rights, or rights of publicity;
• Any misrepresentation made by you;
• Any dispute or issue between you and any third party.

Wing Snob reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Wing Snob's defense of such claims and not to settle any matter without the prior written consent of Wing Snob.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the applicable state laws of the state in which Wing Snob is registered and operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our Services shall be brought exclusively in the federal or state courts of competent jurisdiction in the state where Wing Snob is headquartered. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the exercise of jurisdiction over you by such courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Notwithstanding the foregoing, Wing Snob reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or proprietary interests.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact Wing Snob directly at [email protected] and attempt to resolve the dispute informally. Wing Snob will attempt to resolve your concern within thirty (30) calendar days of receiving written notice describing the nature of the dispute, the relief sought, and the contact information of the complaining party.

14.2 Binding Arbitration

If informal resolution is unsuccessful, and except as provided below, you and Wing Snob agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services through binding individual arbitration, rather than in court. This agreement to arbitrate is intended to be broadly interpreted and includes:

• Claims arising out of or relating to any aspect of the relationship between us;
• Claims that arose before these Terms or any prior agreements;
• Claims that may arise after the termination of these Terms.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) Consumer Arbitration Rules, as amended. The arbitration shall be conducted in English and shall take place in the state where Wing Snob operates or, at the election of either party, via telephonic or video conference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek relief in a small claims court for disputes within the jurisdictional limits of such court. Additionally, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15. Term and Termination

15.1 Term

These Terms shall remain in full force and effect while you use our Site or Services or maintain an account with us.

15.2 Termination by You

You may terminate your account and discontinue use of our Services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any payment obligations for orders already placed or services already rendered.

15.3 Termination by Wing Snob

Wing Snob reserves the right, in its sole discretion and without prior notice or liability, to suspend or terminate your account and access to the Site and Services at any time, for any reason, including but not limited to:

• Violation of these Terms or any applicable law;
• Fraudulent, harmful, or abusive conduct;
• Extended periods of account inactivity;

15.4 Effects of Termination

The invalidity, illegality, or unenforceability of such provision shall not affect the remaining provisions of these Terms, which shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.

To the extent permitted by applicable law, the parties agree that a court or arbitrator may modify any invalid, illegal, or unenforceable provision to the minimum extent necessary to make it valid, legal, and enforceable, in a manner that most closely reflects the original intent of the parties.

20. Waiver

No waiver by Wing Snob of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by Wing Snob on the Site, shall constitute the entire agreement between you and Wing Snob concerning your use of the Site and Services. These Terms supersede all prior and contemporaneous agreements, communications, representations, and warranties, whether written or oral, between you and Wing Snob with respect to the subject matter hereof.

In the event of any conflict between these Terms and any other agreement or policy between you and Wing Snob, these Terms shall control unless the other agreement or policy explicitly states otherwise.
